Terms of Service

1. These terms

These terms of service apply to commercial security contracts provided by Vigil Services Ltd, trading as Vigil Security Services ("we", "us", "our"), to our clients ("you", "your"). They apply alongside any signed contract or service agreement specific to your site, which takes precedence over these general terms where the two conflict.

2. Our services

We provide SIA-licensed manned guarding, mobile patrols, key holding and alarm response, and door supervision, as agreed in your service agreement or quote. The scope, hours, and locations of the service are set out in that agreement.

3. Quotes and contract formation

Quotes are valid for 30 days unless stated otherwise. A contract is formed when you accept a quote or sign a service agreement, whichever applies. We reserve the right to decline a booking before a contract is formed.

4. Fees and payment

Fees are as set out in your quote or service agreement. Invoices are payable within the terms stated on the invoice, typically 30 days from the invoice date, unless otherwise agreed in writing. Late payment may incur interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

5. Cancellation

Either party may cancel a scheduled service with reasonable written notice, as set out in your service agreement. Cancellation with less than the agreed notice period may be chargeable.

6. Our officers

All officers we deploy hold a current SIA licence and have undergone an enhanced DBS check before deployment. We will provide a trained relief officer to cover planned or unplanned absence where reasonably possible.

7. Insurance and liability

Vigil Security Services carries public liability and employer's liability insurance covering our contracts and deployed officers, details of which are available on request. Our liability for any claim arising from our services is limited to the extent permitted by law and as set out in your service agreement.

8. Confidentiality

Both parties agree to keep confidential any non-public information shared in connection with the services, except where disclosure is required by law.

9. Data protection

We process personal data in accordance with our Privacy Policy and UK GDPR.

10. Termination

Either party may terminate the contract for material breach that is not remedied within a reasonable period after written notice, or as otherwise set out in your service agreement.

11. Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.

12. Contact
